These terms and conditions outline the rules and regulations for the use of Ripe Events’s Website, located at www.ripeevents.com.

By accessing this website we assume you accept these terms and conditions. Do not continue to use Ripe Events if you do not agree to take all of the terms and conditions stated on this page. 

The following terminology applies to these Terms and Conditions, Privacy Statement and Disclaimer Notice and all Agreements: “Client”, “You” and “Your” refers to you, the person log on this website and compliant to the Company’s terms and conditions. “The Company”, “Ourselves”, “We”, “Our” and “Us”, refers to our Company. “Party”, “Parties”, or “Us”, refers to both the Client and ourselves. All terms refer to the offer, acceptance and consideration of payment necessary to undertake the process of our assistance to the Client in the most appropriate manner for the express purpose of meeting the Client’s needs in respect of provision of the Company’s stated services, in accordance with and subject to, prevailing law of Netherlands. Any use of the above terminology or other words in the singular, plural, capitalization and/or he/she or they, are taken as interchangeable and therefore as referring to same.

Most interactive websites use cookies to let us retrieve the user’s details for each visit. Cookies are used by our website to enable the functionality of certain areas to make it easier for people visiting our website. Some of our affiliate/advertising partners may also use cookies.

Unless otherwise stated, Ripe Events and/or its licensors own the intellectual property rights for all material on Ripe Events. All intellectual property rights are reserved. You may access this from Ripe Events for your own personal use subjected to restrictions set in these terms and conditions.

  • Reproduce, duplicate or copy material from Ripe Events

This Agreement shall begin on the date hereof. 

Parts of this website offer an opportunity for users to post and exchange opinions and information in certain areas of the website. Ripe Events does not filter, edit, publish or review Comments prior to their presence on the website. Comments do not reflect the views and opinions of Ripe Events,its agents and/or affiliates. Comments reflect the views and opinions of the person who post their views and opinions. To the extent permitted by applicable laws, Ripe Events shall not be liable for the Comments or for any liability, damages or expenses caused and/or suffered as a result of any use of and/or posting of and/or appearance of the Comments on this website.

Ripe Events reserves the right to monitor all Comments and to remove any Comments which can be considered inappropriate, offensive or causes breach of these Terms and Conditions.

You warrant and represent that:

  • You are entitled to post the Comments on our website and have all necessary licenses and consents to do so;
  • The Comments do not invade any intellectual property right, including without limitation copyright, patent or trademark of any third party;
  • The Comments do not contain any defamatory, libelous, offensive, indecent or otherwise unlawful material which is an invasion of privacy

You hereby grant Ripe Events a non-exclusive license to use, reproduce, edit and authorize others to use, reproduce and edit any of your Comments in any and all forms, formats or media.

If you are one of the organizations listed in paragraph 2 above and are interested in linking to our website, you must inform us by sending an e-mail to Ripe Events. Please include your name, your organization name, contact information as well as the URL of your site, a list of any URLs from which you intend to link to our Website, and a list of the URLs on our site to which you would like to link. Wait 2-3 weeks for a response.

Approved organizations may hyperlink to our Website as follows:

  • By use of our corporate name; or

No use of Ripe Events’s logo or other artwork will be allowed for linking absent a trademark license agreement.

Without prior approval and written permission, you may not create frames around our Webpages that alter in any way the visual presentation or appearance of our Website.

Content Liability

We shall not be hold responsible for any content that appears on your Website. You agree to protect and defend us against all claims that is rising on your Website. No link(s) should appear on any Website that may be interpreted as libelous, obscene or criminal, or which infringes, otherwise violates, or advocates the infringement or other violation of, any third party rights.

We reserve the right to request that you remove all links or any particular link to our Website. You approve to immediately remove all links to our Website upon request. We also reserve the right to amen these terms and conditions and it’s linking policy at any time. By continuously linking to our Website, you agree to be bound to and follow these linking terms and conditions.

Removal of links from our website

If you find any link on our Website that is offensive for any reason, you are free to contact and inform us any moment. We will consider requests to remove links but we are not obligated to or so or to respond to you directly.

We do not ensure that the information on this website is correct, we do not warrant its completeness or accuracy; nor do we promise to ensure that the website remains available or that the material on the website is kept up to date.

As long as the website and the information and services on the website are provided free of charge, we will not be liable for any loss or damage of any nature.

By making a booking with Ripe Event for a Ripe Market or a non-Ripe Market Event you agree to the terms and conditions set out. Each event has its own individual Terms and Conditions as well as the Generic Terms and Conditions:

Generic Ripe Market Booking Terms and Conditions

Registration fee

Annual registration fees will be applied at the beginning of the outdoor market season. The registration fee is to be paid in advance of any booking by credit or debit card, any previous outstanding balance will be settled upon registration. Prices are as follows:

One-Off Annual Participation Fee

  • AED 300; Arts & Craft Vendors
  • AED 550; All Food Members

Payments

VAT is a consumption tax that the end user is obligated to pay and Ripe Exhibitions Organizer Co LLC will be only acting as a collection agent on behalf of the taxation authority. Ripe Exhibitions Organizer Co LLC is legally obliged to comply with this Government mandate from 1st January 2018.

Ripe Market is a prepaid market; therefore, all payments must be cleared a minimum of 3 days before the market date. Once the booking is confirmed via email, the vendor is liable to pay the full amount.

For all Arts & Craft / Food members we can accept the following payment options:

  • Cash – Please drop by our offices in the Collective by Ripe building, opposite Bounce in Al Quoz 1 to hand the amount payable over to the Bookings team.
  • Debit or Credit Card – Please complete our Market Card Payment Form on page 3 and email it to bookings@ripeevents.com, or call our team, 04 315 7000, to pay over the phone.
  • Cheque – Ripe Exhibition Organiser Co LLC providing the payment has cleared before the participation date.

Ripe Market does not accept Bank Transfers for payment. A late payment fee of AED 75 is charged weekly from any unpaid booking.

All credit/debit cards details and personally identifiable information will NOT be stored, sold, shared, rented or leased to any third parties.

We accept payments online using Visa and MasterCard credit/debit card in AED (or any other agreed currency). Refunds will be done only through the Original Mode of Payment.

Cancellations and refunds

All date cancellations or changes must be made in writing to bookings@ripeevents.com. Ripe will not accept any verbal cancellations at a market, WhatsApp or over the phone.

Date cancellation or changes can only be made 10 days prior to the market date, and a credit note will be issued to the vendor’s Ripe Account. Payment is still expected to be paid inline with the original booking payment terms.

Ripe does not offer cash refunds at any time Date cancellation or changes will be awarded in credit notes only and can only be used at another Ripe Market Event.

Any cancellation or date changes made within 10 days of your booking will be non-refundable.

Credit Notes can only be used at future events subject to availability.

Date cancellation or changes policy only applies to weekly bookings, no cancellations, credit notes or date changes can be given to monthly or seasonal agreements across all Ripe Market Venues and must adhere to relevant contract terms.

Weather conditions & force majeure

Outdoor Ripe Markets remain open throughout the entire Winter season including all weather conditions. No refunds will be given to any Ripe Market Vendors who do not adhere to the cancellation policy regardless of weather conditions.

Safety & waste management

All Vendors must adhere to Covid 19 rules and regulations in line with the UAE authorities and government updates as well as venue rules and regulations.

Please ensure that you do not leave any discarded packaging, rubbish or unwanted items at the venue.

No liquids, including water, oil, ice or wastewater can be discarded at the venue and adequate floor protection must always be used.

AED 500 penalty charge will automatically be added to your account if you do not clean up before, during or after the event and late payment fees applied until settled.

If damages are caused at the venue by the Vendor, Ripe reserves the Right to invoice the full amount of the damages to the Vendor, directly or on behalf of the Event Venue.

Branding

No flags or roll-ups banners are allowed. No branding of any kind can be placed on any venue property apart from inside the designated space. Branding without approval by the Ripe Market team will be removed.

All standalone branding must be contained within your allotted space and behind your table not in front and not blocking your neighbour’s stand.

All Ripe Market Vendors need to bring their own tablecloths and it is mandatory that they are from tabletop to ground to help hide storage boxes or personal possessions. Table dimensions: width 0.75m | height 0.80m | length 1.5m

Marketing

It is in the interest of every Vendor and the entire Vendor Community to drive awareness about the Event. Vendors must inform their existing customers and follower base about their participation at all Ripe Market’s via social media platforms, company website, customer database and any other network channels to create awareness. Please visit the Ripe Market website or contact a member of the Ripe team if you do not receive the marketing tool kit, this is a mandatory part of your participation before and during each event.

The Ripe Market seasonally creates a fully integrated marketing campaign for our events. The Ripe Market social media channels are an integral part of this campaign. Features are chosen at the discretion of our marketing team.

Vendors cannot promote participation or awareness of any event that is in competition or at a conflicting time to The Ripe Market.

Disclaimer:

Ripe Exhibition Organizer Co LLC is not liable or responsible for any of the following circumstances:

  • The Vendor is, and Organizer shall not be, responsible for the damage or loss of any of The Vendor’s items or Kiosk decorations.
  • The Organizer is not liable for any losses, damages or injury to The Vendor or its employees, consultants, contractors, visitors, or customers before, during or after the Event.
  • The Organizer shall have security presence for the venue however The Vendor is responsible for securing their area at all times.
  • The Kiosks and the Event space is the property of the Organizer and will remain the property of the Organizer.
  • This agreement is not a Tenancy Contract or Ejari Agreement. This agreement is for the purpose of participation in the Event inside the Venue only.
  • The Vendor is responsible to ensure that it takes out and maintains adequate insurance to cover its losses or liabilities arising out of or in connection with the Event including Insurance of its property, Liability for injury sustained by its employees, customers or third parties, Liability for loss or destruction of or damage to property of the venue, the other party and any third party; and Insurance against losses arising out of the cancellation of the Event due to causes beyond its control.
  • This agreement does not establish an exclusive arrangement between The Vendor and The Organizer.
  • No second-hand or counterfeit products can be sold during any Ripe Market.
  • No items can be kept or stored outside the allocated area at any time. The Vendor gives The Organizer permission to remove or dispose of any items outside this area at any time and charge the removal cost to The Vendor.
  • At the end of the Event, The Vendor must remove all items from the event location. Should The Vendor not remove their items, the Vendor agrees and permits the Organizer to remove and dispose of these items on their behalf and charge any costs.
  • The Vendor must follow merchandising feedback. The Vendor is responsible for keeping their area restocked, well presented, and merchandised at all times.
  • The Vendor must act in the best interest of the Organiser at all times, if this is not being adhered to The Organizer has this right to remove The Vendors products and terminate the agreement without refund or compensation.
  • The Vendor must adhere to all UAE Laws when operating their business including, Trade Licenses, Health Cards, Insurances and Permits.
  • The responsibility lies with each Food vendor to obtain all required permits and documentation for participation in the markets. The Organiser will provide required NOCs to support each Food Vendor’s application. The Vendor must supply a copy of the Food Permit to the Organiser and have this available at all Events for Food Control inspection.
  • The Vendor must act appropriately towards all Venue visitors including appropriate behaviour or dress code within the laws of the UAE and the Venue.
  • Ripe Exhibition Organizer Co LLC is not responsible or accountable for the rejection by Municipality Food Control of a Temporary Food Permit after booking has been confirmed on site after an inspection by relevant Food Control authorities because of the failure to comply with Food Control Regulations.
  • All Vendors inclusive of food retail, live cooking and food trucks must have at least two items on their menu priced under AED 25 and have one healthy food option.
  • Ripe Market can use Vendor participants full names, photos, or other types of representation of the events without asking permission of the subjects.
  • By registering as a Ripe Market Vendor, you consent to your details being added to the Ripe Market’s database and receiving information via newsletter or direct messages on vendor promotions and Ripe Market news.
  • Any Ripe Market vendor that is not acting in the best interest of the event, Ripe has the authority to ask the vendor to leave without refunding the participant’s amount. Any vendor who damages or destroys any Ripe Market Property will be charged and held liable for covering all costs to rectify the damage.
  • No outside food or beverage can be brought into or consumed at the Event. All food and beverages must be purchased from one of the participating Vendors.
  • No third-party advertising can be made during the Ripe Market events. Anyone found to be doing this will be asked to leave.
  • All Vendors must adhere to Ripe’s third-party sponsorship requirements when announced.
  • The Vendor is responsible for all direct and indirect costs associated with the setup and operating of their space and follow all rules and regulations of the organizer and venue.
  • By entering the markets, you consent to being recorded by photography, audio and video and its release, publication, exhibition, or reproduction.
  • By making a Booking at a Ripe Market, you agree to participate for the full duration of the Event timings and agree that the Organiser has the right to refuse future participation due to this.
  • Ripe reserves the right to amend its terms & conditions at any time.
  • Any Vendor who doesn’t not comply to the Ripe Market Terms and Conditions is subject to a 500aed penalty fee.
  • Ripe will NOT deal or provide any services or products to any of OFAC (Office of Foreign Assets Control) sanctions countries in accordance with the law of UAE
  • Any purchase, dispute or claim arising out of or in connection with this website shall be governed and construed in accordance with the laws of UAE.
